Job Description

As a Corporate Governance Specialist (UK), you will ensure compliance with UK regulations and corporate governance standards. You’ll manage legal compliance, corporate reporting, risk management, and oversee the implementation of governance frameworks, while advising leadership on legal and regulatory matters.

Responsibilities

  • Design, implement, and optimize corporate governance frameworks, ensuring compliance with the Companies Act 2006, UK corporate tax regulations, and relevant regulatory bodies.
  • Provide high-level advisory on legal and compliance matters, including mergers, acquisitions, joint ventures, and corporate restructuring, ensuring alignment with both UK and international laws.
  • Lead corporate reporting processes, ensuring timely and accurate filings with UK regulatory authorities, including Companies House and HMRC, and ensure full transparency in corporate disclosures.
  • Oversee adherence to the UK’s stringent data protection laws (GDPR) and cybersecurity regulations, collaborating with our technical teams to ensure data security standards are met across all platforms and client interactions.
  • Conduct comprehensive reviews of contracts, agreements, and corporate governance documentation to ensure enforceability and compliance with UK law, corporate interests, and Swyft’s strategic objectives.
  • Lead corporate social responsibility (CSR) initiatives and advise on sustainable business practices to align with global regulatory standards and stakeholder expectations.
  • Manage UK subsidiary reporting and governance, ensuring adherence to corporate best practices and alignment with Swyft’s international corporate structure.
  • Requirements

  • Minimum of 7+ years of experience in corporate governance, compliance, or legal advisory, with a specific focus on UK regulatory frameworks and international business operations.
  • Expertise in UK corporate law, including the Companies Act 2006, financial reporting standards, UK tax laws, and GDPR, with the ability to navigate complex legal landscapes.
  • In-depth experience in advising on high-value mergers, acquisitions, corporate restructurings, and joint ventures, with proven ability to mitigate legal risks and ensure regulatory compliance.
  • Strong track record in overseeing the governance processes of multinational organizations, ensuring compliance with both UK and international regulations.
  • Proficiency in drafting, reviewing, and negotiating high-complexity contracts, legal documents, and corporate governance policies.
  • Excellent communication and presentation skills, with a strong ability to influence senior leadership, board members, and external stakeholders on legal and compliance matters.
  • Law degree (LLB or equivalent) with relevant professional certifications in corporate governance (e.g., ICSA, IBA), or a Master’s degree in corporate law, business administration, or a related field.
  • Extensive experience in managing corporate reporting and governance practices for UK subsidiaries or branches of international organizations.
